1. Acceptance of Terms and Corporate Entity Identification

These Terms of Service constitute a legally binding contractual agreement between the user, whether acting individually or on behalf of an academic institution or corporate entity, and NexGen Language Editing, LLC, doing business as American English Editing, a limited liability company formally organized and operating under the laws of the State of Oklahoma. By accessing the website located at www.americanenglishediting.com, registering for a user account, uploading digital documents, or remitting payment for any services, the user expressly acknowledges that they have read, understood, and agree to be bound by all terms, conditions, and policies contained herein. If the user does not unconditionally agree to these Terms of Service, the user is strictly prohibited from utilizing the platform or accessing the services.

2. Scope of Services and Artificial Intelligence Integration

NexGen Language Editing, LLC provides highly specialized scientific language editing, structural translation, and document formatting services. The user explicitly acknowledges and agrees that the services provided by the platform are fundamentally augmented by advanced artificial intelligence models accessed via commercial Application Programming Interfaces. The platform utilizes proprietary computational workflows powered by third-party artificial intelligence processors, including, but not limited to, models provided by Google, OpenAI, and Anthropic.

The services are strictly limited to linguistic enhancement, grammatical correction, style alignment, and readability optimization. The utilization of artificial intelligence is restricted to these parameters. The enterprise does not generate original scientific research, synthesize novel data, or verify the factual accuracy, scientific validity, or academic merit of the underlying text submitted by the user. The user remains solely and exclusively responsible for the final review, comprehensive verification, and factual accuracy of all edited manuscripts returned by the platform.

3. Academic Integrity, Ethics, and Disclosure Obligations

The global landscape of academic publishing requires rigorous transparency regarding the utilization of generative artificial intelligence in the preparation of scholarly manuscripts. The user retains absolute and sole responsibility for adhering to the ethical guidelines, submission rules, and artificial intelligence disclosure requirements mandated by their target journals, academic publishers, funding agencies, or academic institutions.

Where required by the target publisher or institutional policy, the user unconditionally agrees to explicitly and accurately disclose the use of artificial intelligence for language polishing and readability enhancement within their manuscript declarations. The enterprise strictly prohibits the use of its services to facilitate academic misconduct, data fabrication, plagiarism, or the generation of synthetic research data. NexGen Language Editing, LLC shall not be held liable, under any circumstances, for manuscript rejection, academic disciplinary action, loss of financial funding, or any related damages arising from the user's failure to appropriately disclose the use of artificial intelligence-assisted editing tools, nor shall the enterprise be liable for false-positive indications generated by third-party artificial intelligence detection software utilized by publishers.

4. Intellectual Property Rights and Strict Confidentiality

The protection of pre-publication scientific research is a foundational principle of our platform.

User Ownership

The user retains all intellectual property rights, exclusive title, and absolute interest in and to all documents, scientific manuscripts, raw research data, and supplementary materials uploaded to the platform. The enterprise claims no ownership rights, copyrights, or ongoing licenses over the user's intellectual property beyond what is necessary to perform the requested service.

Limited License to Process

By submitting documents to the platform, the user grants the enterprise a highly restricted, non-exclusive, worldwide, royalty-free license solely to process, edit, translate, and securely store the text for the express and limited purpose of fulfilling the requested editing services.

Confidentiality and Model Training Exclusion

The enterprise treats all submitted, unpublished research as strictly confidential. Documents are transmitted via secure, encrypted channels. The enterprise utilizes commercial-tier Application Programming Interfaces for artificial intelligence processing, which are contractually bound by Zero Data Retention configurations and explicitly opted out of foundational model training. The user's intellectual property and uploaded manuscripts are strictly excluded from being utilized to train, improve, or fine-tune the public artificial intelligence models of Google, OpenAI, or Anthropic.

5. Infrastructure, Data Storage, and Archival Retention

To facilitate ongoing user access to edited files, historical revision comparisons, and comprehensive account management, the enterprise stores uploaded documents and account data on highly secure servers hosted by Google Cloud Platform. By utilizing the service, the user expressly consents to the storage of their manuscripts, revisions, and associated operational documents on the enterprise's Google Cloud Platform infrastructure for the duration of the user's active account lifecycle. This storage is provided as a functional convenience to the user. Upon the user's explicit request to permanently delete their account, all associated intellectual property, documents, and personal data will be permanently destroyed from active storage servers, terminating the archival access.

6. Payment Processing and Financial Data

All financial transactions for services rendered are processed securely through an independent, third-party payment gateway, Stripe, Inc. NexGen Language Editing, LLC does not natively store, process, or retain full credit card numbers or highly sensitive financial authentication data on its proprietary servers. By utilizing the service and initiating a financial transaction, the user explicitly agrees to be bound by the independent Terms of Service and Privacy Policy of Stripe, Inc. The user assumes full responsibility for the payment of any applicable local taxes, international duties, or currency conversion fees associated with the transaction.

7. Conspicuous Limitation of Liability

To the maximum extent permitted by applicable jurisprudence, in no event shall NexGen Language Editing, LLC, its managing members, employees, affiliates, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages. This explicitly includes, without limitation, damages for loss of profits, loss of goodwill, loss of data, loss of reputation, manuscript publication rejection, academic penalties, denial of tenure, loss of grants, or other intangible losses that result from the use of, or inability to use, this service.

Under no circumstances will the enterprise be held responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the service or the user's secure account. In no event shall the total aggregate liability of NexGen Language Editing, LLC for all claims relating to the service exceed the total financial amount paid by the user to the enterprise in the twelve months immediately preceding the initiation of the claim.

8. Comprehensive Indemnification

The user agrees to aggressively defend, fully indemnify, and hold harmless NexGen Language Editing, LLC, its managing members, employees, and authorized contractors from and against any and all claims, civil damages, obligations, severe losses, liabilities, costs, or debt, and expenses, including but not limited to reasonable attorney's fees, arising directly or indirectly from:

  • The user's violation of any specific provision of these Terms of Service.
  • The user's violation of any third-party right, including without limitation any intellectual property, copyright, property, or privacy right, specifically including the uploading of plagiarized, unauthorized, or stolen academic materials.
  • Any claim that the user's utilization of artificial intelligence-edited content violated the specific rules, regulatory requirements, or ethical guidelines of a target publisher, academic journal, or granting institution.

9. Governing Law, Venue, and Mandatory Dispute Resolution

These Terms of Service, and any disputes arising directly or indirectly from the utilization of the platform, shall be governed exclusively by the internal substantive laws of the State of Oklahoma, without respect to its conflict of laws principles.

Any dispute, controversy, or legal claim arising out of or relating to these Terms, or the breach thereof, shall be exclusively resolved by mandatory, binding arbitration administered by the Oklahoma Arbitration Center in accordance with its commercial arbitration rules. The legal seat of the arbitration shall be located within the State of Oklahoma. The arbitration shall be conducted by a single, neutral arbitrator. The user explicitly and irrevocably waives the right to participate in a class action lawsuit, class-wide arbitration, or any other representative proceeding against the enterprise.

10. Acceptable Use and Prohibited Conduct

The user agrees to utilize the Services strictly for individual, authorized use. To protect the integrity of the platform and our pricing structures, the following activities are strictly prohibited:

Account Sharing

The user's account and login credentials are for individual use only. Sharing, transferring, leasing, or selling account access to any third party is expressly forbidden.

Submission Bundling

The user is prohibited from artificially combining, merging, or grouping multiple distinct manuscripts, papers, or documents into a single submission in an attempt to bypass pricing tiers, word count limits, or subscription restrictions. Each distinct manuscript must be submitted as a separate request and transaction.

11. Account Termination and Forfeiture of Fees

NexGen Language Editing, LLC reserves the absolute right to immediately suspend, restrict, or terminate the user's account, active subscriptions, and access to the services, without prior notice, if the enterprise determines, in its sole discretion, that the user has violated any provision of these Terms of Service, including the Prohibited Conduct outlined in Section 10.

In the event of account termination for cause, the enterprise will not issue refunds for any previously remitted one-time payments, unused subscription periods, or prepaid credits. NexGen Language Editing, LLC reserves the right to retain such funds to offset the administrative and operational costs associated with addressing the breach of contract.
