Terms of Service
Platform terms for American English Editing, RevisePilot, and ProposePilot.
Effective Date: May 8, 2026
1. Agreement and Scope
These Terms of Service form a binding agreement between you and NexGen Language Editing, LLC, doing business as American English Editing, RevisePilot, and ProposePilot. They apply to the websites americanenglishediting.com, revisepilot.com, proposepilot.com, our shared API, and any related applications, dashboards, communications, and services we provide.
NexGen Language Editing, LLC is a limited liability company organized under the laws of the State of Oklahoma, USA. We have no branch, subsidiary, office, or other business establishment in mainland China, are not registered as a business in China, and do not conduct business operations within mainland China. The service is provided from within the United States.
By creating an account, uploading content, purchasing a service, subscribing to a plan, or otherwise using the platform, you agree to these Terms, our Privacy Policy, and our Cookie Policy.
2. Eligibility and Accounts
- You must be legally able to enter into a contract and to authorize us to process the content you submit.
- You are responsible for maintaining accurate account details, safeguarding login credentials, and restricting access to your devices.
- You may not share, lease, sell, or transfer account access, subscription benefits, or collaborator slots except as expressly allowed by a purchased plan feature.
- We may suspend login access, require additional verification, or close accounts that present security, fraud, abuse, sanctions, or policy risks.
3. What the Service Does
We provide AI-assisted language editing, translation, formatting, proposal revision, reviewer-response drafting, peer-review simulation, and related manuscript support tools. The exact service catalog, storefront availability, credits, and prices may differ by frontend, region, or offer, but these Terms govern them all.
Unless a specific service page clearly states otherwise, manuscript-based services are generally limited to 20,000 words per submission, and the Thesis/Dissertation service is generally limited to 150,000 words.
Our services are editorial and workflow tools. They do not constitute legal advice, clinical advice, publication guarantees, grant-funding guarantees, authorship advice, or verification of factual, scientific, statistical, or regulatory accuracy.
4. AI Output Disclaimer and Human Review
Our platform uses third-party AI models and automated workflows. Outputs may contain errors, omissions, hallucinations, formatting issues, or unintended wording changes.
- You are solely responsible for reviewing every output before submission, publication, filing, or sharing with any third party.
- You remain solely responsible for the accuracy, legality, originality, citations, authorship disclosures, and final suitability of your content.
- We do not guarantee acceptance by journals, editors, reviewers, funders, institutions, immigration authorities, or any other decision-maker.
5. User Content, Rights, and Warranties
You retain ownership of your manuscripts, proposal drafts, reviewer comments, figures, supplementary files, and other submitted content. You also own the edited, translated, or otherwise processed output we deliver to you, subject to your ongoing compliance with these Terms.
By uploading content, you grant us a limited, non-exclusive, worldwide license to host, copy, transmit, analyze, transform, and store that content only as needed to operate, secure, and deliver the requested services.
Except for your user content and the output we deliver to you, the platform itself and all related intellectual property rights — including our website design, software, workflows, prompt templates, trademarks, logos, trade dress, and generic site content — are owned by us or our licensors and protected by applicable intellectual property laws. These Terms grant you only a limited, revocable, non-transferable right to use the service as intended.
You represent and warrant that you have all rights, permissions, and legal bases needed to submit the content, instruct us to process it, and allow us to share it with necessary subprocessors.
6. Academic Integrity and Acceptable Use
You may not use the platform to engage in fraud, deception, fabrication, plagiarism, unlawful surveillance, credential abuse, malware distribution, sanctions evasion, copyright infringement, or any misuse that violates academic, contractual, or legal rules.
- No submission bundling or other attempts to bypass pricing, file, word-count, or plan limits.
- No use of the platform to generate false data, false references, false reviewer identities, or misleading disclosures.
- No scraping, crawling, bulk extraction, mirroring, benchmarking, prompt harvesting, or other automated access intended to copy the service, analyze it competitively, or build a competing product.
- No reverse engineering, decompiling, disassembling, or attempting to extract source code, underlying prompts, workflow logic, or model-routing behavior, except to the extent applicable law expressly forbids that restriction.
- No bypassing or testing access controls, authentication measures, rate limits, billing mechanisms, or security protections, and no automated activity that imposes an unreasonable load on the platform.
- No upload of content you do not have the right to use.
- No upload of protected health information (PHI) subject to HIPAA, government classified or controlled-unclassified information, third-party confidential corporate data, or any material whose processing by AI subprocessors would violate a confidentiality obligation or applicable law.
- You represent that uploads do not contain FERPA-protected education records of other students unless you have appropriate authorization.
- You remain responsible for any required AI-use disclosures to journals, funders, institutions, or regulators.
7. Orders, Pricing, and Payment
- Prices, plan features, and storefront availability may change prospectively. Updated pricing applies only to future purchases or renewal periods unless otherwise stated.
- Payments are processed by third parties such as Stripe. We do not store full payment-card numbers on our own servers.
- You are responsible for applicable taxes, bank fees, foreign-exchange fees, and local charges associated with your purchase.
- If a payment is reversed, charged back, refunded, or found to be fraudulent, we may suspend access, revoke delivered credits, or recover outstanding amounts where allowed by law.
8. Subscriptions, Credits, Packs, and Renewals
Global storefronts may offer recurring subscriptions. China storefronts may offer one-time credit packs. Top-off credits may also be sold separately. Subscription plans automatically renew until cancelled. If you cancel, the cancellation takes effect at the end of the current paid billing period unless stated otherwise at checkout or required by law.
- Subscription credits reset each billing cycle and expire if unused at the end of that cycle.
- Top-off credits do not expire unless we clearly state otherwise at the time of purchase.
- One-time packs and granted credits are generally non-refundable once issued, except where required by law or expressly approved by us.
- You may cancel a recurring subscription from the subscription or billing area of your account, or by contacting hello@americanenglishediting.com before your next renewal date if you cannot access your account.
- Unless we expressly say a change takes effect immediately, changes to plan pricing, features, or billing terms apply starting with your next billing cycle.
- If you are an EU or UK consumer purchasing digital services that begin immediately, you request immediate performance at checkout and acknowledge that, to the extent permitted by law, you may lose any otherwise applicable statutory cancellation or cooling-off right once processing starts.
- Where required by law, we will provide additional reminder or renewal notices before an automatic renewal or pricing change takes effect.
- We may change or discontinue plans, credit values, or feature bundles prospectively upon notice.
9. Refunds, Reprocessing, and Service Issues
Because our services begin processing quickly and often involve immediate AI, compute, storage, and payment costs, purchases are generally final once processing starts. If we are unable to deliver a paid order because of our platform failure, we may, in our discretion and subject to applicable law, reprocess the order, restore credits, issue service credit, or provide a refund.
Nothing in this section limits any non-waivable consumer rights you may have under applicable law.
10. Confidentiality, Storage, and Subprocessors
We treat submitted work as confidential business and research material, but we cannot promise absolute security or absolute confidentiality. To operate the service, content may be stored or processed through providers including cloud services, Stripe, email/communications vendors, and AI providers such as Anthropic, OpenAI, and Google.
Uploaded and generated files are generally retained for 90 days after order completion, after which they are deleted from active storage according to our retention workflow. Order metadata, billing records, and suppression/security logs may be retained longer for operational, accounting, compliance, and abuse-prevention reasons.
If you request technical support, troubleshooting, quality review, or file recovery for a specific order, you authorize our employees and contractors who are subject to confidentiality obligations to access the submitted content and generated outputs relevant to that request on a need-to-know basis, solely as necessary to provide that support.
If you use the service on behalf of a university, lab, company, or other institution and need a data processing addendum (DPA) or institutional terms, contact privacy@americanenglishediting.com.
11. Availability and Changes
We may modify, suspend, or discontinue any feature, model, pricing path, storefront, or integration at any time. We do not guarantee uninterrupted availability, backward compatibility with every file format, or continued availability of any specific AI model or third-party provider.
Lab plan availability target: For Lab plan subscribers, we target 99.5% monthly platform availability (excluding scheduled maintenance and third-party provider outages). This is a best-effort target, not a binding SLA. If a continuous outage exceeds 24 hours, we may, at our discretion, issue service credit as compensation.
12. Disclaimer of Warranties
The platform and all services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or error-free operation.
13. Limitation of Liability
To the maximum extent permitted by law, NexGen Language Editing, LLC and its affiliates, officers, employees, contractors, licensors, and suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, savings, data, funding opportunities, publication opportunities, reputation, or goodwill. Our total aggregate liability for any claim arising out of or relating to the service will not exceed the greater of the amount you paid us for the affected service in the 12 months before the claim or one hundred U.S. dollars (US$100).
14. Indemnity
You agree to defend, indemnify, and hold harmless NexGen Language Editing, LLC and its affiliates, officers, employees, and contractors from claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of your content, your misuse of the service, your violation of these Terms, or your violation of another party's rights or applicable law.
15. Suspension and Termination
We may suspend or terminate access immediately if we reasonably believe you violated these Terms, created security risk, engaged in fraud or abuse, triggered payment risk, or created legal exposure for us or others.
Termination does not erase obligations accrued before termination, including payment obligations, dispute rights, indemnity obligations, or retained records required for compliance and security.
16. Governing Law and Disputes
These Terms are governed by the laws of the State of Oklahoma, excluding conflict-of-law rules. Any dispute arising from these Terms or the service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, seated in Oklahoma, except that either party may bring an individual claim in small-claims court if eligible.
You waive any right to participate in a class action, class arbitration, or representative proceeding to the extent permitted by law.
Before either party starts arbitration or a small-claims action, that party must first send written notice of the dispute to the other party and allow at least 30 days for an informal resolution attempt. The notice should briefly describe the nature of the claim, the basis of the dispute, and the relief sought.
Intellectual-property and injunctive-relief exception: Either party may seek temporary or preliminary injunctive relief in a court of competent jurisdiction to protect intellectual-property rights or prevent irreparable harm, without waiting for arbitration to commence or conclude.
Arbitration opt-out: You may opt out of the arbitration agreement by sending written notice to hello@americanenglishediting.com within 30 days of first accepting these Terms. The notice must include your full name, email address associated with your account, and a clear statement that you decline arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Oklahoma.
17. Human Editing Services
Human Standard, Human Quick, and Human Unlimited tiers are fulfilled by human editors rather than AI automation. Turnaround times are estimates and may vary based on manuscript length, complexity, and queue volume. We do not guarantee a specific quality outcome, acceptance by journals or institutions, or that human editing output will be free of error.
- Human editing payments are processed through pre-built Stripe Payment Links. The same no-refund-once-processing-starts policy (Section 9) applies, subject to applicable consumer law.
- If a human editing order cannot be fulfilled due to circumstances on our end, we will offer reprocessing, service credit, or a refund as appropriate.
- Disputes about human editing quality should be submitted to hello@americanenglishediting.com within 14 days of delivery. We will review and, where reasonable, offer a revision.
18. Lab Plan Collaborators
The Lab subscription plan allows the primary account holder to invite collaborators to share workspace access and credit pool. The primary account holder is solely responsible for all activity by their collaborators, including any misuse, policy violations, or charges incurred.
- Collaborators may access shared orders, view uploaded manuscripts and generated outputs, upload new manuscripts, and consume credits from the Lab account's shared pool.
- Collaborators are individually bound by these Terms. Inviting a collaborator does not transfer ownership of the subscription or its obligations.
- The primary account holder may remove collaborators at any time. Removed collaborators lose access immediately.
- We may revoke a collaborator's access independently of the primary account if the collaborator violates these Terms.
- Collaborator slots may not be sold, transferred, or used to circumvent per-account plan limits.
19. Third-Party Links and Services
Our platform may contain links to third-party websites, services, or integrations such as ORCID, Stripe, journal submission portals, or documentation resources. These links are provided for convenience only. We do not control, endorse, or assume responsibility for the content, privacy practices, or terms of any third-party site or service. Your use of third-party services is governed by their own terms and privacy policies.
20. China Users — PIPL Note
If you access the platform from mainland China or are otherwise subject to China's Personal Information Protection Law (PIPL, 中华人民共和国个人信息保护法): RevisePilot is operated by NexGen Language Editing, LLC entirely from the United States with no establishment in China. By creating an account or uploading content, you consent to the cross-border transfer of your personal information to the United States. To exercise PIPL rights or request data deletion, email privacy@americanenglishediting.com.
21. Electronic Communications Consent
By creating an account, you consent to receive electronic communications from us, including service announcements, administrative messages, order confirmations, security alerts, and legal notices. These electronic communications satisfy any legal requirement that such communications be in writing.
22. Copyright Infringement and DMCA Notices
If you believe content hosted on our platform infringes your copyright, you may submit a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512) to our designated agent:

Your notice must include: (1) identification of the copyrighted work; (2) identification of the allegedly infringing material and its location on our platform; (3) your contact information; (4) a statement of good-faith belief that the use is unauthorized; (5) a statement under penalty of perjury that the information is accurate and you are authorized to act on behalf of the copyright owner; and (6) your physical or electronic signature.
24. Force Majeure
We will not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor disputes, government actions, internet or infrastructure failures, third-party provider outages, power outages, or cyberattacks.
25. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, reorganization, or sale of assets. Any purported assignment in violation of this section is void.
26. Severability
If any provision of these Terms is found invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect.
27. Waiver
Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. A waiver of any term will be effective only if in writing and signed by us.
28. Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and NexGen Language Editing, LLC regarding your use of the platform, and supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral. If these Terms are made available in both English and Chinese and the versions conflict, the English version controls to the extent permitted by applicable law.
29. Export and Sanctions Compliance
You represent that you are not located in, organized under the laws of, or a resident of any country or territory subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions), and that you are not a person on the U.S. Treasury Department's Specially Designated Nationals list or any other applicable restricted-party list. You agree to comply with all applicable export and sanctions laws in connection with your use of the platform.
30. Changes to These Terms
We may update these Terms from time to time. The updated version becomes effective on the posted effective date. If the changes are material, we may provide additional notice through the website, dashboard, or email. Continued use after the effective date means you accept the revised Terms.
